These Website Terms of Use ("Terms") govern your access to and use of the ScholarSync website, including www.scholarsync.ai and any related webpages, demonstration environments, forms and publicly accessible services operated by ScholarAI Systems (OPC) Private Limited ("ScholarSync", "ScholarAI", "we", "us" or "our").
By accessing or using the Website, you agree to these Terms. If you do not agree, you should not use the Website.
1. About ScholarSync
ScholarSync is a technology platform designed for educational institutions, including schools, coaching centres and education authorities. ScholarSync provides learning-management, academic, administrative, analytics, communication and artificial-intelligence-assisted functionality.
Use of the ScholarSync software platform by an institution may additionally be governed by separate SaaS Terms and Conditions, an order form, subscription agreement, Data Processing Addendum, Acceptable Use Policy or other agreement between ScholarSync and that institution.
If there is a conflict between these Website Terms and a separately executed agreement governing paid or institutional services, the separately executed agreement will control in relation to those services.
2. Eligibility
You may use this Website only if you are legally capable of entering into a binding agreement or are accessing it under the supervision or authority of a parent, guardian, educational institution or other authorised person.
The public Website is not intended to enable children to independently create institutional student accounts.
Student access to the ScholarSync platform may be provided through participating educational institutions and may be subject to additional consent, privacy and institutional requirements.
3. Permitted Use
You may use the Website for lawful purposes, including:
- learning about ScholarSync;
- requesting product demonstrations;
- contacting ScholarSync;
- evaluating ScholarSync for institutional use; and
- accessing documentation and information made publicly available by us.
You must comply with our Acceptable Use Policy when using the Website or Services.
4. Prohibited Conduct
You must not:
- access or use the Website unlawfully or fraudulently;
- attempt to gain unauthorised access to any account, system, network, database or service;
- probe, scan or test vulnerabilities without our prior written permission;
- circumvent authentication, security, rate limits or access controls;
- introduce malware, malicious code or harmful material;
- scrape, crawl, harvest or systematically extract information except as expressly authorised by us or applicable law;
- interfere with the normal operation of the Website;
- impersonate another person or organisation;
- use ScholarSync branding in a manner likely to create confusion regarding sponsorship or affiliation;
- infringe intellectual-property, privacy or other legal rights; or
- use information obtained through the Website to harm students, teachers, parents, institutions or other persons.
5. Accounts and Credentials
Certain parts of ScholarSync require an account.
You are responsible for keeping your login credentials confidential and for activity occurring through your account to the extent permitted by applicable law.
You must promptly notify ScholarSync or your institution if you believe your account has been compromised.
Accounts provided by an educational institution may be administered, suspended or terminated by that institution in accordance with its policies and its agreement with ScholarSync.
6. Intellectual Property
The Website, ScholarSync platform, software, interfaces, designs, logos, trademarks, documentation and other materials provided by ScholarSync are owned by or licensed to ScholarSync and are protected by applicable intellectual-property laws.
Except where expressly permitted, these Terms do not grant you ownership of or a licence to reproduce, modify, distribute, sell, reverse engineer or commercially exploit ScholarSync technology or content.
"ScholarSync" and associated logos and branding may not be used without our prior written permission.
7. User and Institutional Content
Users and institutions may upload or create educational materials, assignments, responses, documents, messages, assessments and other content through the ScholarSync platform.
Ownership of such content remains with the applicable user, institution or other lawful rights holder.
To the extent necessary to operate the Service, the applicable rights holder grants ScholarSync a limited right to host, process, reproduce, transmit and display that content solely for providing, securing, supporting and improving the Service in accordance with applicable agreements and our Privacy Policy.
Users must not upload material they do not have the legal right to use.
8. Artificial Intelligence Features
Certain ScholarSync features may use artificial intelligence or automated systems.
AI-generated or AI-assisted outputs may contain errors, omissions, outdated information or inappropriate recommendations and must not be treated as automatically correct.
Teachers, administrators and other responsible users should independently review material before relying on it for consequential educational decisions.
Use of AI functionality is additionally governed by the ScholarSync AI Usage Disclaimer and Responsible AI Policy.
9. Educational Disclaimer
ScholarSync is an educational technology tool. It does not replace teachers, qualified educational professionals, schools, examination authorities, educational boards or independent professional judgment.
ScholarSync does not guarantee particular grades, examination results, learning outcomes, admissions, certifications or academic performance.
10. Third-Party Services
ScholarSync may integrate with or rely on third-party infrastructure, APIs, artificial-intelligence services, notification services, translation services or other technology providers.
Third-party products may be subject to their own terms and policies.
ScholarSync is not responsible for third-party websites that are merely linked from our Website.
11. Privacy
Our collection and processing of personal data is described in our Privacy Policy and, where applicable, Children's/Student Privacy Notice and Data Processing Addendum.
Educational institutions using ScholarSync may independently determine certain purposes and means for processing student information and may have their own privacy obligations.
12. Availability and Changes
We may modify, maintain, update, suspend or discontinue portions of the Website or Service.
We do not guarantee uninterrupted or error-free availability of the public Website.
Any service-level commitments applicable to paying institutional customers will be governed by their applicable agreement with ScholarSync.
13. Disclaimer of Warranties
To the extent permitted by applicable law, the public Website and publicly available materials are provided on an "as is" and "as available" basis.
We do not warrant that all Website information will always be complete, current, accurate, uninterrupted or error-free.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, ScholarSync will not be liable for indirect, incidental, special, consequential or punitive damages arising solely from use of the public Website.
Any liability relating to subscribed ScholarSync services will be governed by the applicable SaaS agreement, order form or other contract.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
15. Suspension
We may restrict or suspend access where reasonably necessary to:
- protect users or systems;
- investigate suspected misuse;
- comply with law;
- prevent security threats;
- enforce these Terms or our Acceptable Use Policy; or
- protect ScholarSync, institutions, students or third parties.
16. Changes to These Terms
We may update these Terms periodically.
The updated version will be published with a revised "Last Updated" date. Where required by law or appropriate because of a material change, we may provide additional notice.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Subject to any mandatory rights under applicable law and any dispute-resolution provision contained in a separate agreement, courts of competent jurisdiction in Bengaluru, Karnataka, India will have jurisdiction over disputes arising from these Website Terms.
